These terms govern your use of www.progressivesolutions.com, operated by Progressive Solutions, Inc. ("PSI", "we", "us"). By using the site you agree to them. If you do not agree, please do not use the site.

What these terms do not cover

These terms apply to this marketing website only. Licensed software, hosted services, support and professional services supplied by PSI are governed by the signed agreement between PSI and the client agency. Where these terms and that agreement conflict, the signed agreement controls. Residents and businesses using a portal that PSI hosts for an agency are subject to the terms published by that agency.

Permitted use

This site is provided for information about PSI and its products. You may view, download and print pages for your own internal or governmental use, provided you keep all proprietary notices intact.

Prohibited conduct

You agree not to:

• Attempt to gain unauthorized access to the site, to any server we operate, or to any account or data on them.
• Probe, scan or test the vulnerability of any system without our prior written permission, except as described under Reporting a security issue below.
• Interfere with the operation of the site, including by denial of service, injection, or automated traffic that degrades service for others.
• Introduce malware or any other harmful code.
• Scrape, harvest or systematically collect content or contact details for unsolicited marketing.
• Use the site for any unlawful purpose, or to infringe the rights of others.

The content, layout, graphics and software on this site are owned by PSI or its licensors and are protected by United States and international copyright law. No license is granted except as stated above.

No offer, no reliance

Product descriptions, screenshots, feature lists, roadmaps and pricing indications on this site are for general information. They are not an offer, they do not form part of any contract, and they may change without notice. Do not rely on them in a procurement decision without written confirmation from PSI.

Availability

We aim to keep this site available but do not guarantee uninterrupted access. We may change, suspend or withdraw any part of it at any time. Service levels for hosted products are set out in the applicable agreement, not here.

Disclaimer of warranties

This site and its content are provided "as is" and "as available", without warranty of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title and non infringement. We do not warrant that the site will be error free or that it or the server that makes it available are free of harmful components. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

Limitation of liability

To the fullest extent permitted by law, PSI and its officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data or business interruption, arising out of or relating to your use of this site, whether based in contract, tort, strict liability or otherwise, even if advised of the possibility. PSI’s total liability arising out of or relating to this site will not exceed one hundred United States dollars. This section does not limit liability that cannot be limited by law, and it does not affect the limitation of liability provisions in any signed agreement between PSI and a client agency, which govern that relationship.

Indemnity

If you are using this site other than as an employee or official of a public agency acting within the scope of your duties, you agree to indemnify and hold PSI harmless from any claim arising out of your breach of these terms or your misuse of the site. Nothing in this section requires a public agency to indemnify PSI where doing so is prohibited by law or by its charter.

Reporting a security issue

We welcome reports of suspected vulnerabilities in this site or in our hosted products. Send them to support@progressivesolutions.com with "Security report" in the subject line. Please see our Security page for what we ask of researchers and what we commit to in return. We will not pursue action against anyone who reports in good faith and follows that guidance.

Termination

We may block access to this site from any address that violates these terms, without notice.

Changes to these terms

We may revise these terms. The revised version is posted here with a new effective date and applies to use of the site from that date.

Governing law and venue

These terms are governed by the laws of the State of California, without regard to its conflict of laws rules. The state and federal courts located in Orange County, California have exclusive jurisdiction over any dispute arising out of these terms, except that a public agency retains any venue rights granted to it by statute.

General

If any provision of these terms is held unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it. These terms, together with our Privacy Policy, are the entire agreement between you and PSI regarding this website. You may not assign them; we may assign them in connection with a merger, acquisition or sale of assets.
